RESELLER TERMS AND CONDITIONS

1. Qualifying as a Reseller
   To qualify you are obliged to make an initial order of at least $200.00. Subsequent orders must reach a minimum amount of $100.00.
2. Price
   Over and above the wholesale catalogue prices of the products and the additional costs of shipping and handling, you are to pay any applicable value-added tax, including GST. Orders under $100.00 are subject to a flat rate of $10.00 freight. For orders over $100.00 and under $350.00, we pay half the freight. For all orders totalling $350.00 or more, shipping will be provided free by St. Francis Herb Farm Inc. (SFHF)  
3. Payment
   You are to pay the total invoice price in full by credit card (Visa or MasterCard) at the time of the order. No credit purchases allowed. 
4. Placing Orders
   You can place orders any time night or day by phone, fax, email, or at our website, keeping in mind that the minimum order is $100.00. 
5. Responsibility for the Order
   All responsibility for your order is turned over to you on delivery.
6. Ownership
   Ownership of the products that you order changes over to you when payment in full of the total invoice is made.
7. Delivery
   St. Francis Herb Farm will make every effort to ship your order to you promptly, normally by way of Canada Post or courier. Nevertheless, it should be noted that the date and time of delivery are not of the essence in this agreement. Thus St. Francis Herb Farm disclaims any liability in the event that a shipment to you is delayed. Except if otherwise indicated, shipment will be made through a carrier of St. Francis Herb Farm’s choice.
8. Product Returns
   In the terms that follow, “damaged or defective” means damaged or defective in such a way as to be unsuitable for resale. This includes damaged or defective packaging.
   1. St. Francis Herb Farm Inc. will replace or provide a refund for products that are:
      1. found damaged or defective at the time of delivery – so long as we are notified within 10 days after the date of delivery; or
   2. St. Francis Herb Farm Inc. is not responsible for any damaged or defective product or loss of product resulting from theft, improper handling, or a failure to comply with our recommendations as regards storage conditions.
9. Your Obligations
   
   1. You may not manufacture products in any way similar or competitive with those of St. Francis Herb Farm Inc.
   2. You may not engage in conduct that in the opinion of St. Francis Herb Farm Inc. is in any way prejudicial or likely to be prejudicial to its business interests or marketing practices.
   3. You may not in any way alter the packaging or labeling of SFHF products without prior approval by SFHF in writing.
   4. You may not use any SFHF trademark in such a way as to prejudice its validity or distinctiveness as well as the goodwill attached to SFHF.
   5. You may not in any way use the name or any logo or get-up of SFHF or the trade names of any SFHF products:
      1. on or in connection with any product other than SFHF products; or
      2. in any name or logo belonging to you or your company or associated with you or your company.
   6. You must preserve the confidentiality of all commercial and other information relating to SFHF and its products that comes to your knowledge. Such “Confidential Information” includes customer lists, know-how, specifications, and pricing information relating to SFHF products. You may not disclose any Confidential Information to a third party or parties except where the information has come into the public domain otherwise than through a breach of any of the terms of this Agreement.
   7. To promote SFHF products you may only use such advertising material (including newspaper and magazine ads, internet advertising, display signs, and other media) as is issued directly by SFHF or approved beforehand in writing by the owners of SFHF..
   8. You may not make any representation or give any warranties in relation to SFHF products, except as they are made in advertising material supplied or approved in writing by SFHF. 
10. Exclusivity
    SFHF reserves the right to market and retail its products in all geographical areas and does not extend exclusive retail rights to any one business enterprise.
11. Intellectual Property Rights
    All intellectual property rights including, without limitation, trademarks (whether registered or not), design rights, and copyrights, as well as know-how, labels, user documentation, and other literature supplied by SFHF are the property of  St. Francis Herb Farm Inc. and remain so.
12. Non-compliance
    SFHF will notify you if you fail to comply with this agreement or breach any of its material terms. If, after a reasonable lapse of time upon receipt of such a notice, you continue in your failure to comply, SFHF reserves the right to terminate this agreement.
